Please read them carefully. They form a binding agreement between you and SPINX Digital.
By purchasing, downloading, installing, activating, or otherwise using the Product, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are accepting these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity. If you do not agree, do not install or use the Product.
Upon completing a Purchase and payment of the applicable fees, you are granted the right to download, install, and use the Product in accordance with these Terms.
The Product is provided as a one-time purchase and may be used on an unlimited number of websites owned or managed by you.
The Product is sold as a software product and is not transferred into your ownership. SPINX Digital retain all rights, title, and interest in and to the Product, including all intellectual property rights.
The PHP source code distributed with the Product may be subject to the GNU General Public License (GPL) or other applicable open-source licenses. Any third-party components included with the Product remain subject to their respective terms.
Updates, support, online services, and optional features provided by SPINX Digital are governed by these Terms and may be modified, enhanced, discontinued, or replaced at any time.
Except as permitted by applicable law or the GPL, you agree not to:
SPINX Digital Image Converter Pro is offered as a one-time purchase unless otherwise stated at the time of purchase.
After a successful Purchase, customers receive access to the Product and any features, updates, or support included with their purchase. No recurring payments, automatic renewals, or subscription fees apply.
SPINX Digital reserves the right to modify Product pricing, features, plans, support offerings, or available services at any time for future purchases. Such changes will not affect purchases already completed unless explicitly stated.
All purchases of SPINX Digital Image Converter Pro are final and non-refundable.
Because the Product is a digital software product that is delivered immediately upon purchase, we do not offer refunds, exchanges, or credits once an order has been completed.
By purchasing the Product, you acknowledge and agree that you are purchasing a digital product and waive any right to cancel or request a refund except where such rights are required by applicable law.
Nothing in this section limits any non-waivable consumer rights that may apply under applicable laws.
SPINX Digital provides customer support for the Product via email only.
Support is limited to assistance with the Product’s documented features and functionality. Support does not include custom development, website customization, third-party plugin or theme troubleshooting, server administration, hosting-related issues, or general WordPress training.
While we strive to respond to support requests in a timely manner, response times are not guaranteed.
SPINX Digital reserves the right to limit or refuse support for issues arising from misuse of the Product, unauthorized modifications, use of unsupported software or environments, or circumstances outside the Product’s intended functionality.
The Product may interact with third-party software, plugins, themes, hosting providers, content delivery networks (CDNs), web servers, and other services that are not owned or controlled by SPINX Digital.
SPINX Digital is not responsible for the availability, performance, compatibility, security, or functionality of any third-party products or services. Any issues arising from third-party software, services, or hosting environments are outside the scope of our responsibility and support obligations.
Your use of any third-party products or services is subject to their respective terms, conditions, and privacy policies.
You are responsible for installing, configuring, and using the Product in accordance with the Documentation and any instructions provided by SPINX Digital.
You are responsible for maintaining your WordPress website, hosting environment, backups, and security measures. Before making significant changes or processing large numbers of images, you should ensure appropriate backups are available.
You are solely responsible for ensuring that you have the necessary rights and permissions to upload, process, optimize, convert, store, and use any images, media, or other content handled through the Product.
You agree to use the Product in compliance with all applicable laws, regulations, and third-party rights.
The Product may modify image files, generate optimized versions, create alternative image formats, and update related metadata or database records.
You are solely responsible for maintaining complete and up-to-date backups of your website, media files, and database before installing, updating, configuring, or using the Product.
SPINX Digital is not responsible for any loss of data, corrupted files, failed conversions, restoration issues, website downtime, or other consequences resulting from the use of the Product. By using the Product, you acknowledge that appropriate backups should be maintained and that you use the Product at your own risk.
The Product, including its source code, design, functionality, documentation, branding, logos, trademarks, and related materials, is owned by SPINX Digital and is protected by applicable intellectual property laws.
Except where expressly permitted by applicable open-source licenses, nothing in these Terms grants you ownership of any intellectual property rights in the Product or related materials.
Any third-party software, libraries, or open-source components included with the Product remain subject to their respective terms.
The names “SPINX Digital” and “SPINX Digital Image Converter Pro”, along with any associated logos, trademarks, or branding, may not be used, copied, modified, or distributed without prior written permission from SPINX Digital.
You agree not to:
SPINX Digital reserves the right to suspend or terminate access to any services or support provided in connection with the Product if these Terms are violated.
SPINX Digital may suspend or discontinue any support, online services, or optional features associated with the Product if you violate these Terms, engage in unlawful activity, abuse our services, or attempt to interfere with the operation or security of the Product.
SPINX Digital reserves the right to discontinue, modify, or replace any support services, online features, or related offerings at any time.
The provisions of these Terms that by their nature should survive termination or discontinuation, including intellectual property rights, disclaimers, limitations of liability, indemnification obligations, and governing law provisions, shall remain in effect.
SPINX Digital may provide support, documentation, downloads, updates, websites, or other related services in connection with the Product.
While we strive to keep these services available, we do not guarantee uninterrupted, error-free, secure, or continuous availability. We may modify, suspend, limit, or discontinue any such services at any time without liability.
The functionality of the Product installed on your WordPress website may depend on your hosting environment, WordPress configuration, server resources, and third-party software.
To the maximum extent permitted by applicable law, the Product is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.
SPINX Digital disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted operation.
SPINX Digital does not warrant that the Product will be error-free, bug-free, secure, compatible with every WordPress installation, theme, plugin, hosting environment, server configuration, or third-party service, or that the Product will achieve any specific performance, optimization, compression, or conversion results.
Your use of the Product is entirely at your own risk. You are responsible for testing the Product and maintaining appropriate backups before using it on a live website.
Any beta, preview, experimental, or early-access features may contain errors, may be modified or discontinued at any time, and are provided without any warranty.
To the maximum extent permitted by applicable law, SPINX Digital and its owners, employees, contractors, affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to the Product or its use.
This includes, without limitation, any loss of data, corrupted images, failed conversions, restoration issues, website errors, downtime, loss of revenue, loss of profits, loss of business opportunities, loss of search engine rankings, loss of traffic, hosting issues, server failures, security incidents, or conflicts with WordPress, themes, plugins, or third-party services.
To the maximum extent permitted by law, SPINX Digital’s total aggregate liability for all claims relating to the Product shall not exceed the amount actually paid by you for the Product.
Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such cases, the above limitations shall apply only to the maximum extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless SPINX Digital, its owners, employees, contractors, affiliates from and against any claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

SPINX Digital shall not be liable for any delay, interruption, or failure to perform any obligation under these Terms when such delay or failure results from causes beyond its reasonable control.
Such causes may include, without limitation, natural disasters, acts of God, war, terrorism, civil unrest, labor disputes, government actions, internet outages, hosting or infrastructure failures, utility interruptions, cyberattacks, pandemics, or other events beyond SPINX Digital’s reasonable control.
Any affected obligations will be suspended for the duration of the event and resumed as soon as reasonably practicable.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Product shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, United States, and you consent to the personal jurisdiction of such courts.
SPINX Digital reserves the right to update or modify these Terms at any time.
When changes are made, we will update the “Last Updated” date at the top of these Terms and publish the revised version on our website.
Unless otherwise stated, changes become effective immediately upon posting. Your continued installation, access, or use of the Product after any changes become effective constitutes your acceptance of the revised Terms.
